Frequently Asked Questions
How long does it take to get approved on Proseed? ▾
Most companies are reviewed within 3–5 business days. We check for Reg CF eligibility, complete Form C filing, and basic fraud checks. We'll notify you by email.
Can I run a Reg CF raise alongside a Reg D raise? ▾
Yes — funds raised under Reg D (506b/506c) do not count toward your $5M Reg CF cap. You can stack fundraising strategies across exemptions simultaneously.
What happens when I hit a milestone? ▾
You update your progress on the Milestones tab. Proseed will verify the milestone (using submitted evidence), then release the payout obligation to investors. You must pay out within 30 days.
Can investors trade my contracts before I hit the milestone? ▾
Yes — Proseed's secondary marketplace allows investors to buy and sell your contracts. This doesn't affect you as the issuer. Your payout obligation is to whoever holds the contract when the milestone is hit.
What is Revenue-Based Financing vs equity? ▾
With Proseed's RBF contracts, investors receive a fixed return multiplier when a milestone is hit — not equity or ownership. You keep 100% of your cap table. The contract is a debt-like instrument triggered by performance.
